Terms of Use
This User Agreement (“Agreement”) is a legally binding contract between you (“User”; or “you”) and Spill The Tea, Inc. (“Company,” “we,” “us,” or “our”) governing your use of the AWDTSG mobile application (“App”). By accessing or using the App, you agree to be bound by the terms and conditions of this Agreement.
App Content and User Conduct
1.1 User Responsibility: You understand and acknowledge that you are solely responsible for your own conduct and the content you post or share through the App, including text, images, and any other materials (“User Content”). You agree not to post or share any User Content that is defamatory, libelous, obscene, harmful, or violates any applicable laws or regulations.
1.2 Platform Provider: The App acts as a platform for users to post and interact with each other. We are not responsible for the content posted by users, and we do not endorse or verify the accuracy or reliability of User Content. You acknowledge that any reliance on User Content is at your own risk.
Location Settings
2.1 Geographical Region: In order to provide you with a personalized experience within the App, you may be required to enable location settings. By allowing access to your location information, you consent to being placed in the correct geographical region for use within the App.
Data Privacy
3.1 Use of Data: We may collect and use certain personal information and data about you in accordance with our Privacy Policy. By using the App, you consent to the collection, storage, and processing of your personal information as described in the Privacy Policy.
3.2 Anonymity and Privacy: We understand the importance of privacy and will take reasonable measures to protect your personal information and the confidentiality of your User Content. User Content shared in private will remain anonymous, and your personal information will not be disclosed to other users without your explicit consent.
Verification and Access to Facebook
4.1 Verification Process: As part of the registration and verification process, you may be required to grant access to your Facebook account. This is solely for the purpose of verifying your identity and ensuring the integrity of the App’s user community. We will not post on your Facebook account without your permission.
Termination
5.1 Termination Rights: We reserve the right to suspend or terminate your access to the App, at our sole discretion, if we believe you have violated any provisions of this Agreement or if your conduct is harmful to the App or other users.
5.2 Survival: The provisions of this Agreement that by their nature should survive termination (including, but not limited to, intellectual property rights, disclaimers, and limitations of liability) will continue to apply even after termination.
Disclaimer and Limitation of Liability
6.1 No Warranty: The App is provided on an “as is” and “as available” basis without any warranties, whether express or implied. We do not guarantee the accuracy, completeness, reliability, or availability of the App or any content therein.
6.2 Limitation of Liability: To the fullest extent permitted by applicable law, in no event shall the
Company, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses arising from your use of the App or any content therein.
Governing Law and Dispute Resolution
7.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of laws principles.
7.2 Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations. If a resolution cannot be reached, the dispute may be submitted to the competent courts of New York State.
Miscellaneous
8.1 Entire Agreement: This Agreement constitutes the entire agreement between you and the Company regarding your use of the App, superseding any prior agreements or understandings.
8.2 Amendments: We may update or modify this Agreement from time to time, and any changes will be effective upon posting the revised Agreement. Your continued use of the App after the changes will signify your acceptance of the modified Agreement.
